Welcome to MusicSpark LLC (“MusicSpark”, “we”, “us”, or “our”). These Terms & Conditions (“Terms”) govern your access to and use of the MusicSpark website (https://musicspark.io) and our music distribution and services (collectively, the “Services”). By registering, submitting your music, or using any part of the Services, you agree to be legally bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.

1. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use MusicSpark. By using our Services, you confirm that you are eligible and authorized to act on your own behalf or on behalf of your organization.

2. Acceptance of Terms

By accessing or using the MusicSpark Services—including creating an account, uploading music, or viewing content—you accept these Terms and agree to comply with all applicable laws and regulations. If you do not agree, you must discontinue use of the Services immediately.

3. Services Provided

MusicSpark offers artists, creators, and music labels tools and services, including but not limited to:

• Global Digital Distribution of music to streaming platforms and digital stores
• Royalty Collection & Payment Processing
• Rights and Copyright Management Support
• Performance Analytics & Insights
• Help & Support Resources

All Services are subject to change, availability, and acceptance based on quality control and internal review.

4. Artist Obligations & Content Standards

By uploading or submitting content to MusicSpark, you represent and warrant that:

• You own or control all rights to the music, files, metadata, artwork, and related content you submit.
• Your content does not infringe any third-party rights, including copyright, trademark, privacy, or publicity rights.
• Your content is accurate, lawful, and free of inappropriate or harmful material.
• You are responsible for all information you provide to MusicSpark, including metadata and payment details.

You agree to comply with all applicable local, national, and international laws.

5. Rights Granted

When you submit music for distribution, you grant MusicSpark a non-exclusive, worldwide license to publish, distribute, reproduce, promote, and monetize your content on supported platforms. You retain ownership of your music and intellectual property at all times.

6. Royalty Payments & Fees

MusicSpark collects royalties from distribution platforms on your behalf and will distribute payments to you in accordance with your contract or your dashboard agreement. Payments are typically processed monthly or quarterly, subject to platform reporting times and payout thresholds. Any fees or commission will be clearly stated in your account settings or service agreement.

7. Account Termination & Suspension

You may terminate your account at any time. MusicSpark reserves the right to suspend or terminate your access to Services if you violate these Terms, submit fraudulent content, or otherwise misuse the platform. Upon termination, we will cease distribution of your content. However, we may retain records for legal, financial, or audit purposes.

8. Limitation of Liability

To the maximum extent permitted by law, MusicSpark will not be liable for any indirect, incidental, or consequential damages arising from your use of the Services. Our total liability to you is limited to the amount you have paid to MusicSpark in the last 12 months.

9. Modifications to Terms

MusicSpark may update or modify these Terms at any time. We will notify you of material changes by posting updates on our website or via email. Your continued use of the Services after changes indicates your acceptance of the revised Terms.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United Arab Emirates (UAE), where MusicSpark LLC is registered. Any disputes arising from these Terms will be subject to the exclusive jurisdiction of UAE courts.
